Position Overview:

 

The Company Secretary (CS) will ensure full compliance with the Indian Companies Act, FEMA/RBI regulations, and corporate governance requirements for P&M (IND). This role is critical to establishing a robust legal and compliance framework, managing board and shareholder processes, and supporting statutory filings and governance activities during the early-stage build-up of the Global Engineering Center.

 

Key Responsibilities:

 

  • Ensure compliance with the Companies Act, 2013 and other applicable corporate laws in India
  • Manage Board of Directors (BOD) and Shareholder governance processes
  • Organize board meetings (minimum quarterly) and AGM
  • Prepare agendas, resolutions, and minutes
  • Handle all ROC filings including AOC-4, MGT-7, and other statutory filings
  • Maintain statutory registers and corporate records as per legal requirements
  • Support compliance with FEMA/RBI regulations, including foreign investment and reporting
  • Coordinate with external auditors and support statutory audit processes
  • Manage Corporate Governance Framework and compliance calendar
  • Monitor and report changes in corporate laws and ensure timely internal implementation
  • Liaise with regulatory authorities (ROC, RBI, etc.) and external consultants
  • Ensure proper documentation and safe custody of board resolutions and legal records
  • Support legal and compliance advisory within Admin function (contracts, regulatory interpretation, etc.)
  • Mitigate risks associated with outsourcing (e.g., DSC misuse, documentation control)

Qualifications:

 

  • Mandatory: Qualified Company Secretary (CS) (ICSI membership required)
  • Minimum 5+ years of experience in corporate secretarial / governance roles
  • Strong knowledge of:
  • Companies Act 2013
  • FEMA / RBI regulations
  • Corporate governance and compliance frameworks
  • Experience working with foreign-owned subsidiaries or MNCs preferred
  • Strong communication skills (coordination with overseas HQ and directors)
  • Ability to manage multiple stakeholders and regulatory bodies
  • High level of integrity and attention to detail
